The terms of using Sarvadhi. Your access, our services, and the rules that apply.

These Terms of Service govern your access to and use of Sarvadhi's website, products, and operational software services. By accessing or using any part of the Services, you agree to be bound by them.

Sarvadhi Solutions Private Limited (“Sarvadhi,” “we,” “us,” or “our”) operates the website at sarvadhi.com and develops AI-driven, industry-specific operational software, including its product suite — DiamntX, GemitiX, EduX, DistriX, and ImmiX — along with related ERP, CRM, HRMS, e-commerce, agentic engineering, and custom operational software and services (collectively, the “Services”).

These Terms of Service (“Terms”) govern your access to and use of the Services. By accessing our website, creating an account, subscribing to a product, or otherwise using any part of the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” and “your” refer to that entity. If you do not agree with these Terms, you must not use the Services.

1. Definitions

  • “Account” means the registered account through which you access and use the Services.

  • “Customer Data” means all data, records, files, and information that you or your authorised users submit to, store in, or process through the Services.

  • “Subscription” means a paid plan that grants access to a specific product or set of features for a defined billing period.

  • “Order Form” or “Proposal” means a written or electronic document that describes the products, services, scope, fees, and term agreed between you and Sarvadhi.

  • “Users” means the individuals you authorise to access the Services under your Account, such as your employees, contractors, or agents.

  • “DPDP Act” means the Digital Personal Data Protection Act, 2023 of India, and any rules made under it.

2. The Services

Sarvadhi provides operational software built for specific industries. Depending on what you subscribe to or engage us for, the Services may include cloud-hosted software-as-a-service (SaaS) products, custom-built operational software, professional and implementation services, support, and access to our website and related content.

Product-specific terms. Certain products carry obligations tied to the industries they serve. For example, our diamond and jewellery platforms include features that help businesses track regulatory thresholds, and our education platform supports compliance workflows relevant to schools. These features are tools that assist your compliance efforts; they do not transfer your legal responsibilities to Sarvadhi. You remain responsible for meeting the laws and regulations that apply to your business.

Order Forms control. Where you and Sarvadhi sign an Order Form, Proposal, or Statement of Work, the specific scope, deliverables, fees, and service levels in that document apply to your engagement. If anything in an executed Order Form conflicts with these Terms, the Order Form prevails for that engagement.

3. Eligibility and Accounts

3.1 Eligibility

You may use the Services only if you can form a binding contract with Sarvadhi and are not barred from doing so under applicable law. The Services are intended for business use and are not directed to individuals under the age of 18.

3.2 Account Registration

To access most of the Services you must register an Account and provide accurate, current, and complete information. You agree to keep this information up to date.

3.3 Account Security

You are responsible for safeguarding your login credentials and for all activity that occurs under your Account. You must notify us promptly at connect@sarvadhi.com if you suspect any unauthorised access or security breach. Sarvadhi is not liable for losses arising from your failure to secure your credentials.

3.4 Authorised Users

You are responsible for the acts and omissions of your Users and for ensuring they comply with these Terms. Access controls, roles, and permissions within the Services are configured by you or your designated administrators.

4. Subscriptions, Fees, and Payment

4.1 Fees

Fees for the Services are set out in the applicable Order Form, subscription plan, or pricing page. Unless stated otherwise, all fees are exclusive of taxes, including Goods and Services Tax (GST) and any other applicable levies, which you are responsible for paying.

4.2 Billing and Renewal

Subscriptions are billed in advance for the applicable billing period and, unless otherwise agreed, renew automatically for successive periods of equal length until cancelled in accordance with these Terms or the relevant Order Form.

4.3 Late Payment

If any undisputed amount remains unpaid past its due date, Sarvadhi may suspend access to the affected Services after providing reasonable notice, and may charge interest on overdue amounts at the rate permitted by law.

4.4 No Refunds

Except where required by law or expressly stated in an Order Form, fees already paid are non-refundable. Cancelling a Subscription stops future renewals but does not entitle you to a refund of fees paid for the current period.

5. Acceptable Use

You agree not to use the Services to do any of the following, and not to permit your Users to do so:

  • Violate any applicable law, regulation, or third-party right;

  • Upload or transmit malicious code, or interfere with the integrity, security, or performance of the Services;

  • Attempt to gain unauthorised access to the Services, other accounts, or our systems and networks;

  • Reverse engineer, decompile, or attempt to derive the source code of any Sarvadhi software, except to the extent this restriction is prohibited by law;

  • Resell, sublicense, or make the Services available to third parties outside the scope of your Subscription without our prior written consent;

  • Use the Services to store or transmit content that is unlawful, infringing, defamatory, or otherwise objectionable; or

  • Use automated means to access the Services in a manner that places an unreasonable load on our infrastructure.

We may investigate suspected violations and, where appropriate, suspend or terminate access in line with Section 12.

6. Customer Data and Ownership

6.1 Your Data Stays Yours

As between you and Sarvadhi, you retain all right, title, and interest in your Customer Data. We do not claim ownership of it.

6.2 Licence to Operate the Services

You grant Sarvadhi a limited, non-exclusive licence to host, process, transmit, and display Customer Data solely as needed to provide and support the Services, to comply with the law, and as otherwise instructed by you.

6.3 Your Responsibilities

You are responsible for the accuracy, quality, and legality of your Customer Data, for the means by which you acquired it, and for obtaining any consents needed to provide it to us for processing.

6.4 Backups

We maintain reasonable backup practices for the hosted Services. You remain responsible for retaining your own copies of business-critical data where your records-retention obligations require it.

7. Intellectual Property

The Services, including all software, source code, platforms, designs, interfaces, documentation, trademarks, logos, and the names Sarvadhi, DiamntX, GemitiX, EduX, DistriX, and ImmiX, are and remain the exclusive property of Sarvadhi and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services during your Subscription term; they do not transfer any ownership to you.

Feedback. If you share suggestions or feedback about the Services, you grant Sarvadhi a perpetual, royalty-free right to use that feedback to improve our products without obligation to you.

Custom development. Ownership of deliverables created under a custom-development engagement is governed by the relevant Order Form or Statement of Work. Pre-existing tools, frameworks, and components owned by Sarvadhi remain its property even when incorporated into deliverables.

8. Third-Party Services and Integrations

The Services may integrate with or rely on third-party services such as payment gateways, messaging providers, cloud hosting, and AI model providers. Your use of those services may be subject to separate terms set by the relevant provider. Sarvadhi is not responsible for the availability, performance, or practices of third-party services, and any integration is offered on an “as available” basis.

9. Confidentiality

Each party may receive information from the other that is marked confidential or that a reasonable person would understand to be confidential (“Confidential Information”). The receiving party will use Confidential Information only to perform under these Terms, will protect it with at least reasonable care, and will not disclose it except to those who need it and are bound by similar obligations. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known, is independently developed, or must be disclosed by law.

10. Data Protection and Privacy

Sarvadhi processes personal data in accordance with its Privacy Policy and applicable data-protection laws, including the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000 and the rules made under it. Where we process personal data on your behalf as part of the Services, you act as the data fiduciary (or controller) and we act as a data processor, processing such data only on your documented instructions and as described in our Privacy Policy or an applicable data-processing agreement.

We implement reasonable technical and organisational measures designed to protect personal data, consistent with our information-security practices. Hosting region, sub-processors, and retention practices for a given product are described in the relevant product documentation or data-processing agreement.

11. Warranties and Disclaimers

Sarvadhi will provide the Services with reasonable skill and care and substantially in line with the documentation and any service levels stated in your Order Form.

Disclaimer. Except as expressly stated in these Terms or an Order Form, the Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Sarvadhi disclaims all other warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that all defects will be corrected.

Any output, recommendation, or automation generated by AI-driven features is intended to assist your decision-making, not to replace professional judgement. You are responsible for reviewing such output before relying on it for legal, financial, regulatory, or operational decisions.

12. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, or data, arising out of or relating to these Terms or the Services, even if advised of the possibility of such damages.

Liability cap. Except for liabilities that cannot be limited by law, each party’s total aggregate liability arising out of or relating to these Terms will not exceed the total fees paid by you to Sarvadhi for the affected Services in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, wilful misconduct, or any other liability that cannot be excluded under applicable law.

13. Indemnification

You agree to indemnify and hold Sarvadhi harmless from claims, damages, and reasonable costs arising from your breach of these Terms, your Customer Data, or your use of the Services in violation of applicable law or third-party rights. Sarvadhi will defend you against third-party claims that the Services, as provided by Sarvadhi and used in accordance with these Terms, infringe that third party’s intellectual-property rights, subject to prompt notice and reasonable cooperation from you.

14. Term, Suspension, and Termination

14.1 Term

These Terms apply from the date you first use the Services and continue while you hold an Account or an active Subscription, or as set out in your Order Form.

14.2 Suspension

We may suspend access where necessary to protect the Services or other customers, to address a security risk, to comply with law, or where you have materially breached these Terms or failed to pay undisputed fees. We will aim to give reasonable notice unless immediate action is required.

14.3 Termination

Either party may terminate for material breach that remains uncured for thirty (30) days after written notice. You may stop using the Services and cancel renewals as described in your plan or Order Form.

14.4 Effect of Termination

On termination, your right to access the Services ends. For a limited period after termination, and on request, we will make Customer Data available for export in a commonly used format, after which we may delete it in line with our retention practices and applicable law. Provisions that by their nature should survive termination — including those on intellectual property, confidentiality, fees accrued, liability, and governing law — will survive.

15. Changes to the Services and These Terms

We may improve, modify, or discontinue features of the Services over time. We may also update these Terms from time to time. When we make material changes, we will update the “Last Updated” date above and, where appropriate, provide notice through the Services or by email. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

16. Force Majeure

Neither party is liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, power or network failures, acts of government, or disruptions to third-party infrastructure, provided the affected party takes reasonable steps to mitigate the impact.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to the dispute-resolution process below, the courts at Surat, Gujarat, India have exclusive jurisdiction over any disputes, except that either party may seek urgent injunctive relief in any court of competent jurisdiction.

The parties will first attempt to resolve any dispute in good faith through discussion. If the dispute is not resolved within thirty (30) days, it may be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Surat, Gujarat, India, and the proceedings will be conducted in English.

18. Grievance Redressal

In accordance with the Information Technology Act, 2000 and the rules made under it, complaints regarding the Services or any content may be addressed to our Grievance Officer. We will acknowledge complaints within a reasonable time and aim to resolve them within the timelines prescribed under applicable law.

19. General

  • Entire Agreement. These Terms, together with any Order Form and our Privacy Policy, form the entire agreement between you and Sarvadhi regarding the Services.

  • Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

  • Severability. If any provision is held unenforceable, the remaining provisions stay in full force.

  • Waiver. A failure to enforce any provision is not a waiver of the right to enforce it later.

  • Notices. Legal notices to Sarvadhi should be sent to connect@sarvadhi.com and to the registered address below.

  • Relationship. Nothing in these Terms creates a partnership, joint venture, or agency relationship between the parties.
